Terms of Service

1. Acceptance of Terms

By accessing or using the Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Platform.

You represent that you have the legal capacity to enter into these Terms. If you are using the Platform on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Eligibility

To use the Platform, you must:

• Be at least 18 years of age
• Be a legal resident of the United States
• Have a valid Social Security Number or Individual Taxpayer Identification Number
• Have a valid bank account at a U.S. financial institution
• Not be prohibited from using financial services under applicable law
• Successfully complete our identity verification process

We reserve the right to refuse service, terminate accounts, or restrict access at our sole discretion.

3. Account Registration

To access Platform features, you must create an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your login credentials secure and confidential
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

You may not share your account credentials or allow others to access your account. You are solely responsible for any activity that occurs under your account.

4. Platform Description

Trebanx is a technology platform, not a bank. We provide software tools that enable groups of individuals ("Circles") to organize, track, and facilitate member-to-member lending and savings activities.

Trebanx does NOT:

• Act as a bank, lender, or financial institution
• Make lending decisions or approve loans
• Guarantee any loans or member obligations
• Provide investment, tax, or legal advice
• Insure or protect funds in active Circles
• Collect debts on behalf of members

Banking services, where applicable, are provided by regulated partner financial institutions. Funds held with partner banking institutions may be eligible for pass-through FDIC insurance, subject to applicable limits and requirements.

5. Circles & Member Lending

Circles are groups of members who agree to pool funds and lend to each other under rules established by the Circle. By participating in a Circle, you acknowledge:

• Member Responsibility: All lending decisions are made by Circle members, not Trebanx
• Risk of Loss: You may lose some or all of your contributed funds if members default
• No Guarantees: Trebanx does not guarantee repayment of any loans
• Circle Rules: You agree to abide by the governance rules established by your Circle
• Binding Commitments: Your contributions and loan agreements are binding obligations

6. Payments & Fees

All payments are processed through Stripe, a third-party payment processor. By using the Platform, you agree to Stripe's terms of service.

Platform Fees

• Trebanx charges a percentage of net interest earned within Circles
• There are no fees to join or create a Circle
• There are no monthly subscription fees
• Fee schedules are disclosed before you join or create a Circle

Payment Authorization

By linking a bank account, you authorize Trebanx and our payment partners to initiate debits and credits to your account for contributions, loans, and repayments as directed by Circle activities.

7. User Conduct

You agree NOT to:

• Use the Platform for any illegal purpose
• Engage in fraud, money laundering, or terrorist financing
• Provide false or misleading information
• Attempt to manipulate Circle outcomes or deceive members
• Access accounts or data belonging to other users
• Interfere with Platform security or operations
• Reverse engineer, decompile, or disassemble the Platform
• Use automated systems to access the Platform without permission
• Circumvent any access controls or usage limits

Violation of these rules may result in immediate account termination and legal action.

8. Intellectual Property

The Platform, including all content, features, and functionality, is owned by Trebanx and protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable license to access and use the Platform for personal, non-commercial purposes in accordance with these Terms. This license does not include the right to modify, distribute, or create derivative works.

9. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TREBANX DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Platform will be uninterrupted, secure, or error-free
• Results obtained through the Platform will be accurate or reliable
• Any Circle member will fulfill their obligations
• Your contributions or loans will be repaid

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TREBANX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE PLATFORM.

Our total liability for any claims arising from these Terms or your use of the Platform shall not exceed the fees you paid to Trebanx in the twelve (12) months preceding the claim, or one hundred dollars ($100), whichever is greater.

11. Indemnification

You agree to indemnify, defend, and hold harmless Trebanx, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any rights of another party; or (d) your participation in any Circle.

12. Termination

We may suspend or terminate your account at any time, with or without cause, and with or without notice. You may close your account at any time by contacting support.

Upon termination, your right to use the Platform will immediately cease. Termination does not relieve you of any outstanding obligations to Circle members. Sections regarding intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution survive termination.

13. Dispute Resolution

Binding Arbitration: Any dispute arising from these Terms or your use of the Platform shall be resolved through binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules.

Class Action Waiver: You agree to resolve disputes individually and waive the right to participate in class actions or class arbitrations.

Small Claims Exception: Either party may bring claims in small claims court if the claim qualifies.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles. Any legal action not subject to arbitration shall be brought in the state or federal courts located in Delaware.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Platform. Your continued use of the Platform after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Platform.
